Terms of Service
Effective May 8, 2026
1. Scope
LuxDispatch is software provided to licensed ground-transportation operators for dispatching rides, managing clients, and invoicing work. These terms apply to every person who accesses the service through a paid or trial account (“Operator”).
2. Account responsibility
The Operator is responsible for all activity under their account, including actions taken by team members they invite. Operators must use a valid business email address and provide accurate organization information. Each team member must use their own credentials — sharing a single login is prohibited — and the Operator must revoke access for staff who leave. Accounts are non-transferable without written consent from LuxDispatch.
3. Acceptable use
The service may only be used for lawful ground-transportation dispatch operations. Operators may not:
- Use the platform to facilitate unlicensed transportation services
- Attempt to access another operator’s data or tenant
- Reverse-engineer, scrape, or automate access to the platform beyond its intended interface
- Upload malicious content or attempt to exploit the AI booking parser
- Resell access to the platform without written authorization
- Upload data the Operator does not have the right to process — passenger records must come from a legitimate booking relationship
4. Data ownership
Operators retain full ownership of their data, including client records, booking history, invoices, and driver information. LuxDispatch does not claim any intellectual property rights over operator data. Upon account termination, operators may request a full data export in machine-readable format.
5. AI features
LuxDispatch uses AI to parse booking text and draft confirmations. The AI receives the raw booking message text, which may contain passenger or booker names and contact details; full client/CRM databases are never sent to the AI provider. AI outputs are suggestions only and are never automatically applied without dispatcher confirmation. AI processing uses Anthropic Claude under their commercial API terms, and operator data sent to the AI is not used for model training. LuxDispatch is not liable for AI parsing errors. The dispatcher is responsible for verifying all AI-suggested fields before confirming a booking.
6. Service availability
The 99.9% uptime figure is an internal target, not a guarantee or a service-level agreement, and no service credits are offered. LuxDispatch does not guarantee uninterrupted service. Scheduled maintenance windows will be communicated at least 24 hours in advance via the operator’s registered email. LuxDispatch is not liable for downtime caused by third-party service providers (Supabase, Twilio, Resend, Vercel) or force majeure events. Operators whose operations depend on real-time dispatch should maintain a manual fallback procedure.
7. Payment terms
Subscription fees are billed monthly in advance. Founding Operator pricing is locked for the stated term. Late payments may result in account suspension after a 7-day grace period with email notification. Setup fees are non-refundable once onboarding work has begun.
8. Termination
Either party may terminate the agreement with 30 days written notice. Upon termination, the Operator’s data is retained for 30 days (recovery window) and then permanently deleted. LuxDispatch may terminate accounts immediately for violations of the acceptable use policy.
9. Limitation of liability
LuxDispatch’s total liability is limited to the fees paid by the Operator in the 12 months preceding the claim. LuxDispatch is not liable for indirect, incidental, or consequential damages including lost revenue, missed bookings, or driver disputes. The Operator is solely responsible for verifying dispatch accuracy, maintaining appropriate insurance, and complying with local transportation regulations.
10. Governing law
These terms are governed by the laws of the State of New Jersey, United States. Any disputes shall be resolved in the state or federal courts located in New Jersey. Both parties agree to attempt good-faith resolution before initiating formal proceedings.
11. Changes to terms
LuxDispatch may update these terms with 30 days notice via email to the Operator’s registered address. Continued use of the service after the effective date of updated terms constitutes acceptance.
